Terms of Service

Welcome to Contract Aegis. These Terms of Service ("Terms") govern your access to and use of the Contract Aegis desktop application, website, and related services (collectively, the "Service") operated by Contract Aegis ("we," "us," or "our").

By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

IMPORTANT: Contract Aegis is NOT a law firm and does NOT provide professional legal advice. All analysis, clause flagging, risk scores, suggested revisions, auto-fix output, and pushback emails generated by the Service are produced entirely by artificial intelligence. AI analysis is not a substitute for review by a licensed attorney. AI can be wrong. You should always consult a qualified legal professional before making decisions based on any output from this Service.

1. Description of Service

Contract Aegis is an AI-powered contract analysis tool designed to help freelancers, small businesses, and individuals identify potentially unfavorable clauses in contracts and service agreements. The Service provides:

  • Automated contract analysis and risk scoring
  • Flagging of potentially problematic clauses across multiple risk categories
  • Plain-English explanations of flagged clauses and associated risks
  • AI-suggested revisions for flagged clauses (Pro tier)
  • PDF analysis report preview after analysis (includes AI-suggested revisions for Pro tier)
  • Chat-based Q&A about uploaded contracts (Pro tier)

2. AI Disclaimer & No Professional Legal Advice

All output from Contract Aegis is AI-generated analysis only. It is NOT professional legal advice. AI can and does make mistakes.

2.1 Not Legal Advice

The Service is an informational and assistive tool only. Nothing produced by Contract Aegis — including risk scores, flagged clauses, suggested revisions, auto-fix results, or pushback emails — constitutes professional legal advice. All output is generated by artificial intelligence models and may contain errors, omissions, inaccuracies, or misinterpretations. You should always have a qualified, licensed attorney review any contract before you sign it.

2.2 AI Can Be Wrong

The Service relies on third-party AI models (including Google Gemini) to analyze contracts. AI is inherently imperfect and can produce incorrect, incomplete, or misleading results. Specifically, AI-generated output may:

  • Fail to identify dangerous or unfavorable clauses that a human attorney would catch
  • Incorrectly flag clauses as risky when they are standard and acceptable
  • Misinterpret the meaning, context, or legal implications of contract language
  • Generate suggested revisions (Pro tier) that inadvertently change the intended meaning, introduce new risks, or create unenforceable provisions
  • Produce different or contradictory results when analyzing the same contract on different occasions
  • Not account for jurisdiction-specific laws, regulations, or case law that may affect enforceability
  • Overlook industry-specific norms or custom that affect how contract terms are interpreted

2.3 No Attorney-Client Relationship

Use of the Service does not create an attorney-client relationship between you and Contract Aegis, or between you and any third party. We are not a law firm. We do not employ or retain attorneys to review your contracts through the Service. No communication through the Service (including the chat feature) constitutes legal consultation.

2.4 Your Responsibility

You are solely and entirely responsible for reviewing all AI-generated output and making your own independent decisions about any contract you sign, modify, or act upon. Contract Aegis shall not be held liable for any consequences resulting from your reliance on AI-generated analysis or revisions, including but not limited to financial losses, legal disputes, or unfavorable contract terms.

3. Accounts and Subscription Tiers

3.1 Account Registration

Certain features of the Service require you to create an account. You agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity that occurs under your account.

3.2 Subscription Plans

The Service is offered under the following plans:

  • Free: Limited to 3 analyses total, powered by Gemini 2.5 Flash (a lighter model with less analytical depth than Gemini 2.5 Pro). Up to 10 pages per contract. Includes basic risk analysis across all major categories. Free tier analysis will not perform at the same level as paid tiers.
  • Pay As You Go ($3.99 per analysis): Single analysis powered by Gemini 2.5 Pro. Up to 20 pages per contract. Includes AI-suggested revisions for flagged clauses. No chat, history, or other advanced features.
  • Pro ($19.95/month): Up to 15 analyses per month powered by Gemini 2.5 Pro. Up to 30 pages per contract. Includes all features: unlimited AI chat, missing protections detection, AI-suggested revisions, PDF analysis report, scan history, pushback email generation, and custom review guidelines.

3.3 Billing and Cancellation

Paid subscriptions are billed monthly. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

3.4 Price Changes

We reserve the right to change subscription pricing with 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate illegal activity
  • Upload contracts or documents that you do not have the right to analyze
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Circumvent subscription limits, rate limits, or other usage restrictions
  • Use the Service to generate output that you represent as professional legal advice
  • Interfere with or disrupt the Service or its infrastructure
  • Share your account credentials with third parties or create multiple free accounts to circumvent usage limits

5. Your Data and Privacy

5.1 Contract Data

Contracts you upload or paste into the Service are processed locally on your device and transmitted to third-party AI providers (currently Google Gemini) for analysis. We store contract text, analysis results, and PDF files in local application memory during your session. This data may be cached locally on your device for performance purposes.

5.2 Data Retention

Analysis history and cached results are stored locally on your device. We retain up to 50 analysis results and 20 PDF buffers in local application memory. You may clear your history at any time through the application interface.

5.3 Third-Party AI Services

Contract text is sent to Google's Gemini API for analysis. Free tier users are served by Gemini 2.5 Flash; Pro and Pay As You Go users are served by Gemini 2.5 Pro. Your use of the Service is also subject to Google's AI Terms of Service. We recommend not uploading contracts containing highly sensitive personal information (e.g., Social Security numbers, financial account numbers) unless you are comfortable with this data being processed by third-party AI services.

6. Intellectual Property

6.1 Our IP

The Service, including its code, design, branding, and documentation, is owned by Contract Aegis and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

6.2 Your Content

You retain all rights to the contracts and documents you upload. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

6.3 AI Output

Risk assessments, AI-suggested revisions (Pro tier), and other AI-generated content produced by the Service are provided for your use. You may use this output freely, but you acknowledge that similar output may be generated for other users analyzing similar contract language.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
  • We make no warranty or representation that any AI-generated analysis, revision, risk score, or other output is accurate, complete, legally sound, or appropriate for your situation. AI can and does produce incorrect results.
  • We do not warrant that the Service will be uninterrupted, error-free, or that any analysis will be complete or accurate.
  • In no event shall Contract Aegis be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business opportunities, or goodwill, arising out of or related to your use of the Service.
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
  • We are not liable for any damages resulting from your reliance on AI-generated analysis, clause flagging, AI-suggested revisions (Pro tier), or any other output from the Service — including damages arising from signing, modifying, or rejecting a contract based on the Service's output. The Service is not a substitute for professional legal counsel, and AI output may be wrong.

8. Indemnification

You agree to indemnify and hold harmless Contract Aegis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your reliance on AI-generated output from the Service.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections 2, 6, 7, 8, 10, and 11 survive termination.

10. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and judgment on the award may be entered in any court of competent jurisdiction. You agree to waive any right to a jury trial or to participate in a class action.

11. General Provisions

11.1 Modifications

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

11.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contract Aegis regarding the Service.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
